About ROC Annual Filing (Company) – Annual Filing + Accounting
Overview
Every company registered under the Companies Act, 2013 must file its financial statements and annual return with the ROC every year, whether or not it did business. Financial statements are filed in Form AOC-4 within 30 days of the AGM under Section 137, and the annual return in Form MGT-7 (or MGT-7A for small companies and OPCs) within 60 days of the AGM under Section 92.
The AGM must normally be held by 30 September. Alongside, companies have other annual compliances such as ADT-1 for auditor appointment, DIR-3 KYC of directors, DPT-3, MSME Form-1 and the income tax return in ITR-6.

Penalty for delay / non-compliance
Delay in filing AOC-4 and MGT-7 attracts an additional fee of ₹100 per day per form. Under Section 137(3), the company is liable to a penalty of ₹10,000 plus ₹100 per day of continuing default, up to ₹2,00,000, and officers up to ₹50,000. Section 92(5) provides similar penalties for the annual return. Non-filing for three continuous years leads to director disqualification under Section 164(2) and possible strike off.
