About Dormant Company Status (MSC-1)
Overview
Under section 455 of the Companies Act, 2013, an inactive company or a company formed for a future project can apply for dormant status instead of closing down. It keeps the company name and legal existence alive with much lighter compliance.
The process needs a special resolution (filed in MGT-14), a statement of affairs certified by a Chartered Accountant, and an application in Form MSC-1. On approval, the ROC issues a certificate in Form MSC-2. Company Mitra checks eligibility (no pending deposits, loans default, investigation or prosecution), drafts resolutions, coordinates certification, files MGT-14 and MSC-1, and follows up with the ROC.

Who cannot apply?
Companies with inspection or investigation pending, outstanding public deposits, defaults in loans or statutory dues, or pending prosecution are generally not eligible.
How many directors are needed?
Minimum 3 for public, 2 for private and 1 for one person company.
What is the benefit?

Compliances after this

- Hold one board meeting in each half of the calendar year.
- Maintain minimum number of directors.
Penalty for delay / non-compliance
