About Significant Beneficial Ownership (BEN-2)
Overview
Section 90 of the Companies Act, 2013 and the Companies (Significant Beneficial Owners) Rules, 2018 require companies to identify individuals who ultimately own or control them. Any individual holding 10% or more of shares, voting or dividend rights, directly or indirectly, or exercising significant influence or control, is a significant beneficial owner (SBO).
The SBO files a declaration in Form BEN-1 with the company, and the company must file Form BEN-2 with the ROC within 30 days of receiving it, and keep a register in Form BEN-3. Company Mitra traces ownership through layers of companies, trusts and partnerships, issues BEN-4 notices where needed, collects BEN-1 declarations, and files BEN-2.
- SBO identification through layered holdings
- BEN-1, BEN-2 and BEN-3 compliance
- Advisory on future changes
Particularly important after fundraise or restructuring. MCA fee is payable at actuals.
